Learning Objectives

In this course, you will learn to:

• Identify the components of a typical negotiated contract and understand their different purposes;
• Properly use contract concepts to convey the intentions of the parties, such as covenants, conditions, representations and warranties, grants of discretionary authority, and declarations;
• Draft a logically organized, precise, unambiguous contract in a contemporary style that avoids formal and archaic terms and expressions and is easy for readers to understand;
• Add value to transactions by spotting substantive issues in contracts drafted by others; and
• Edit a contract to reflect input from your client and opposing counsel.
