Learning Objectives
Identify the components of a typical negotiated contract and understand their different purposes;
Negotiate the terms of a contract with opposing parties;
Properly use contract concepts to convey the intentions of the parties, such as covenants, conditions, representations and warranties, grants of discretionary authority, and declarations;
Draft a logically organized, precise, unambiguous contract in a contemporary style that avoids formal and archaic terms and expressions and is easy for readers to understand;
Edit a contract to reflect input from your client and opposing counsel; and
Add value to transactions by spotting substantive issues in contracts drafted by others.
